1. Introduction and Acceptance of Terms

Welcome to MacroCade (accessible at macrocade.com), an AI-powered financial intelligence platform that analyzes geopolitical and macroeconomic scenarios and maps their cascading consequences on investment opportunities and market dynamics.

MacroCade is operated by PK - Project Key Solutions S.r.l., a company incorporated under the laws of Italy (P.IVA IT15538561000), with registered offices in Italy (hereinafter referred to as "MacroCade," "the Company," "we," "us," or "our").

By accessing or using the MacroCade platform, website, application programming interfaces (APIs), or any associated services (collectively, the "Service"), you ("User," "you," or "your") acknowledge that you have read, understood, and agree to be legally bound by these Terms of Service ("Terms"), our Privacy Policy, our Cookie Policy, and our Financial Disclaimer, all of which are incorporated herein by reference.

If you do not agree to these Terms in their entirety, you must immediately cease all use of the Service.

2. Eligibility

2.1 Minimum Age

You must be at least 18 years of age to access or use the Service. By using the Service, you represent and warrant that you are 18 years of age or older. If we become aware that a user is under 18 years of age, we will immediately suspend and delete that account and any associated data.

2.2 Legal Capacity

You represent that you have the full legal capacity to enter into a binding agreement. If you are accessing the Service on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

2.3 Jurisdictional Compliance

You represent that your use of the Service does not violate any applicable law or regulation in your jurisdiction. It is your sole responsibility to ensure that accessing and using the Service is lawful in your country or territory of residence.

3. Description of the Service

3.1 Nature of the Service

MacroCade is an informational and educational platform that leverages artificial intelligence to generate speculative scenario analyses. The Service examines geopolitical events, macroeconomic trends, and global developments, and produces analytical content regarding their potential cascading effects on financial markets, sectors, and asset classes.

The Service is designed to serve as an informational and educational research tool for users who wish to understand the potential implications of global events. It is not designed, intended, or licensed to function as a financial advisory service.

3.2 AI-Generated Content

All analyses, reports, scenario maps, scenario narratives, and related outputs provided through the Service (collectively, "AI-Generated Content") are produced by artificial intelligence systems, including large language models and related technologies. AI-Generated Content is inherently speculative, probabilistic, and subject to the limitations of the underlying models and training data.

3.3 Informational Purpose Only

The Service and all content provided therein are made available for informational and educational purposes only. Nothing on the Service constitutes or should be interpreted as financial, investment, trading, legal, tax, or professional advice of any kind.

4. Financial Disclaimer and Limitation of Advisory Role

4.1 No Financial Advice

MacroCade DOES NOT PROVIDE FINANCIAL, INVESTMENT, LEGAL, OR TAX ADVICE. ALL ANALYSES ARE AI-GENERATED SPECULATIVE SCENARIOS FOR INFORMATIONAL AND EDUCATIONAL PURPOSES ONLY. USERS SHOULD CONSULT QUALIFIED FINANCIAL ADVISORS BEFORE MAKING ANY INVESTMENT DECISIONS.

4.2 No Registration as Financial Advisor

PK - Project Key Solutions S.r.l. is not registered as an investment advisor, broker-dealer, financial planner, portfolio manager, commodity trading advisor, or any other type of regulated financial intermediary in Italy, the European Union, the United States, or any other jurisdiction worldwide. We are not subject to oversight by the Commissione Nazionale per le Società e la Borsa (CONSOB), the European Securities and Markets Authority (ESMA), the U.S. Securities and Exchange Commission (SEC), the Financial Industry Regulatory Authority (FINRA), the Financial Conduct Authority (FCA), or any equivalent regulatory body.

4.3 Speculative Nature of AI Analyses

All scenario analyses generated by MacroCade are speculative in nature. They represent possible interpretations of complex geopolitical and macroeconomic data and do not constitute predictions, forecasts, or guarantees of any future market outcomes. AI systems can and do produce inaccurate, incomplete, or misleading outputs. Users must not rely on AI-Generated Content as a sole or primary basis for any financial decision.

4.4 User Responsibility

Any financial decision made by a user, in whole or in part, on the basis of content obtained from MacroCade is made entirely at that user's own risk and responsibility. MacroCade expressly disclaims all liability for any losses, damages, or negative consequences arising from such decisions.

5. Subscription Plans and Pricing

5.1 Available Plans

MacroCade offers the following subscription tiers:

a) Public Free Plan Access to a curated selection of publicly available scenario analyses. No account registration required for basic browsing. Limited to pre-generated public scenarios. No ability to submit new scenarios. Visibility limited to 5 impacts per scenario and 5 opportunities per impact.

b) Freemium Plan Access to an expanded set of publicly available scenarios upon registration with a valid email address. Access to basic filtering and search functionality. No ability to submit new scenarios. Subject to usage limitations as defined in the user dashboard. Visibility limited to 10 impacts per scenario and 10 opportunities per impact. Reserved for personal, non-commercial use only (see Section 6).

c) Personal Plan — USD 19.00 per month Full access to all public scenarios with unlimited visibility (impacts and opportunities). Access to private scenario functionality (see Section 7). Ability to submit up to 3 new scenario requests per day (see Section 8). Priority AI processing for scenario submissions. Access to advanced filtering, scenario mapping, and analytical tools. Billed monthly. Subscription renews automatically unless cancelled prior to the renewal date. Reserved for personal, non-commercial use only (see Section 6).

d) Enterprise Plan — Custom Pricing All features of the Personal Plan. Unlimited visibility (impacts and opportunities). Customizable scenario submission limits (default: 10 new scenarios per day). Custom scenario volumes and API access. Dedicated support. Team collaboration features. Custom data integration options. Pricing determined by individual agreement. 5.2 Billing and Payment

Payments for paid plans are processed securely by Stripe, Inc. in accordance with Stripe's terms of service and privacy policy. MacroCade does not store full payment card details. Prices are displayed in USD and may be subject to applicable taxes depending on your jurisdiction.

5.3 Price Changes

MacroCade reserves the right to modify the pricing of any subscription plan at any time. Users on active paid subscriptions will be notified of any price change at least 30 days in advance via the email address associated with their account. If a user does not accept the new pricing, they may cancel their subscription at any time before the end of the notice period without incurring any penalty; cancellation will take effect at the end of the current billing period. Continued use of the Service following the effective date of a price change constitutes acceptance of the new pricing.

Enterprise agreements with individually negotiated and contractually fixed pricing are not subject to unilateral price modifications for the duration of the signed contract term.

5.4 Automatic Renewal

Paid subscriptions renew automatically at the end of each billing cycle. You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period.

5.5 Refunds

All subscription fees are non-refundable, except as required by applicable law (including Italian consumer protection law for users residing in Italy or the EU). Users who purchased a Personal Plan subscription and are dissatisfied may request a review by contacting support@macrocade.com within 14 days of the initial subscription date. MacroCade reserves sole discretion in evaluating refund requests. Refunds, if approved, will be processed to the original payment method within 10 business days.

For users in the European Union exercising their statutory right of withdrawal under Directive 2011/83/EU, please note that by accessing and using the digital service immediately upon subscription, you may waive your right of withdrawal. You will be clearly notified of this at the time of purchase.

6. Commercial Use Restrictions

6.1 Personal and Non-Commercial Use Only

The Freemium Plan and the Personal Plan are made available exclusively for personal, non-commercial use. Users subscribed to either of these plans represent and warrant that they are accessing and using the Service solely for their own personal informational and educational purposes, and not for any commercial or professional purpose.

6.2 Definition of Commercial Use

For the purposes of these Terms, "commercial use" includes, without limitation:

  • The redistribution, resale, licensing, or sublicensing of any content, analyses, scenario outputs, or data obtained through the Service to third parties;
  • The use of content or data from the Service in reports, analyses, presentations, or other materials prepared for or delivered to clients, customers, or third-party beneficiaries, whether or not for compensation;
  • The integration of content or data from the Service into any commercial product, application, software, platform, or service;
  • The systematic or recurring use of the Service for professional trading, investment management, or portfolio management activities carried out on behalf of third parties;
  • Any use of the Service by or on behalf of a legal entity, corporation, partnership, or other business organization for business or professional purposes.

6.3 Enterprise Plan Required for Commercial Use

Any use of the Service that constitutes commercial use as defined in Section 6.2 requires a valid Enterprise Plan subscription or a separate written commercial license agreement with MacroCade. Commercial use of the Service under a Freemium or Personal Plan constitutes a material breach of these Terms.

6.4 Enforcement

MacroCade reserves the right to monitor usage patterns to detect potential commercial use on non-commercial plans. If MacroCade reasonably determines or suspects that a user is engaging in commercial use under a Freemium or Personal Plan, MacroCade reserves the right, in its sole discretion, to:

  • Notify the user and require an immediate upgrade to the Enterprise Plan;
  • Suspend or terminate the user's account and access to the Service, with or without prior notice;
  • Seek any other remedies available at law or in equity.

7. Private Scenarios

7.1 Availability

Private scenarios are a feature available exclusively to users subscribed to the Personal Plan or Enterprise Plan. Private scenarios are scenario analyses that are not publicly listed or accessible to other users of the platform.

7.2 Confidentiality

MacroCade will not deliberately disclose, publish, or make accessible private scenarios to other users or to the general public. Private scenarios are stored in a segregated manner associated with the user's account.

7.3 No Absolute Guarantee of Secrecy

Notwithstanding the foregoing, MacroCade does not guarantee absolute secrecy or confidentiality of private scenarios. Given the nature of AI processing, cloud infrastructure, and digital systems, MacroCade cannot provide an absolute guarantee against unauthorized access, technical failures, security breaches, or other unforeseen events that may result in unauthorized disclosure. Users who require absolute confidentiality for commercially sensitive or proprietary information should exercise caution and refrain from submitting such information to the Service.

7.4 User Responsibility for Private Content

Users are solely responsible for the content they submit as part of private scenario requests. MacroCade does not represent that private scenarios meet any particular standard of security, regulatory compliance, or fitness for a specific business purpose.

8. Scenario Submission

8.1 Eligibility to Submit

The ability to submit new scenario requests to MacroCade for AI analysis is available exclusively to users subscribed to the Personal Plan or Enterprise Plan.

8.2 Daily Submission Limits

Scenario submission is subject to the following daily limits:

  • Personal Plan: up to 3 new scenario requests per day (public or private);
  • Enterprise Plan: customizable limit per agreement, with a default of 10 new scenario requests per day.

Daily limits reset at midnight UTC. MacroCade reserves the right to adjust these limits upon reasonable notice.

8.3 Deduplication Check

Prior to processing a new scenario submission, the MacroCade system performs an automated deduplication check to identify whether a substantially similar scenario already exists on the platform. If a materially similar scenario is detected, the user will be notified and may be directed to the existing scenario rather than having a duplicate generated. MacroCade reserves the right to decline processing of duplicate or substantially similar submissions.

8.4 Acceptable Use of Scenario Submissions

Users may submit scenarios related to geopolitical events, macroeconomic developments, sector-specific trends, and related topics for analysis. Users agree not to submit:

  • Content that is unlawful, defamatory, or harmful;
  • Content that constitutes market manipulation, insider trading information, or any other conduct prohibited under applicable securities laws;
  • Personally identifiable information of third parties without their consent;
  • Content that infringes upon the intellectual property rights of any third party;
  • Content designed to circumvent or manipulate the AI systems of MacroCade.

8.5 MacroCade's Right to Review and Reject

MacroCade reserves the right, but not the obligation, to review, reject, or remove any submitted scenario that violates these Terms or that MacroCade, in its sole discretion, considers inappropriate, harmful, or contrary to the purpose of the Service.

8.6 License Grant for Submitted Content

By submitting a scenario request, you grant MacroCade a limited, non-exclusive, royalty-free license to process your submission through AI systems solely for the purpose of generating the requested analysis and delivering it to you. MacroCade will not use the content of your private scenario submissions for training AI models or for any purpose other than generating the requested output, except as otherwise required by law.

9. Intellectual Property

9.1 MacroCade Content

All public scenarios, scenario analyses, reports, AI-generated outputs, platform design, interfaces, trademarks, logos, brand assets, code, and proprietary methodologies made available through the Service are the exclusive intellectual property of PK - Project Key Solutions S.r.l. or its licensors, protected under applicable Italian, European Union, and international intellectual property laws. All rights are reserved.

9.2 Private Scenario Content

The content submitted by users as the basis for private scenarios remains the intellectual property of the respective user. The AI-generated analysis produced by MacroCade in response to a private scenario submission is delivered exclusively to the submitting user and remains associated solely with that user's account, subject to the limitations set forth in Section 7.

9.3 Prohibition on Redistribution

Users are strictly prohibited from:

  • Reproducing, distributing, republishing, selling, or sublicensing any content obtained from MacroCade without a valid, written commercial license granted by MacroCade;
  • Scraping, crawling, or using automated means to extract content or data from the Service;
  • Creating derivative works based on MacroCade content without express written authorization;
  • Framing, mirroring, or otherwise incorporating any portion of the Service into another website or application without prior written consent.

Any redistribution of MacroCade content, in whole or in part, without a valid commercial license constitutes infringement of MacroCade's intellectual property rights and may result in legal action.

9.4 Limited Personal License

MacroCade grants users a limited, non-exclusive, non-transferable, revocable license to access and use the Service for personal, non-commercial purposes, strictly in accordance with these Terms.

10. AI Act Compliance and Transparency

10.1 Use of Artificial Intelligence

MacroCade uses artificial intelligence systems, including large language models and related machine learning technologies, to generate scenario analyses and related content. In compliance with Regulation (EU) 2024/1689 on Artificial Intelligence (the EU AI Act) and applicable guidance, MacroCade hereby discloses the following:

  • All analyses and scenario outputs presented on the Service are AI-generated content;
  • AI-generated content is clearly labeled or identified as such within the platform;
  • MacroCade does not represent AI-generated outputs as human-authored expert opinions;
  • The AI systems used by MacroCade are not designed or intended to make autonomous financial decisions on behalf of users;
  • MacroCade maintains appropriate human oversight mechanisms over its AI systems and their outputs.

10.2 AI Limitations

Users are expressly informed that AI systems:

  • Can produce inaccurate, outdated, biased, or otherwise erroneous outputs;
  • Do not have access to real-time market data unless explicitly stated;
  • May reflect biases present in training data;
  • Are not a substitute for qualified human professional judgment.

10.3 Feedback and Error Reporting

Users may report errors, inaccuracies, or concerns regarding AI-generated content by contacting support@macrocade.com. MacroCade will review such reports in the context of its ongoing AI quality assurance processes.

11. Prohibited Conduct

Users agree not to use the Service to:

  • Engage in, facilitate, or promote any activity that is unlawful under applicable law;
  • Attempt to gain unauthorized access to any part of the Service, its infrastructure, or other users' accounts;
  • Introduce malicious software, viruses, or any other harmful code;
  • Interfere with or disrupt the integrity or performance of the Service;
  • Engage in any activity that imposes an unreasonable or disproportionate load on the Service's infrastructure;
  • Use the Service to engage in market manipulation, insider trading, or any conduct that violates securities laws;
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity;
  • Circumvent any technical measures implemented to protect the Service or its content.

12. Account Registration and Security

12.1 Account Creation

Certain features of the Service require registration of a user account. You agree to provide accurate, complete, and current information during registration and to keep such information updated.

12.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify MacroCade immediately upon becoming aware of any unauthorized use of your account at support@macrocade.com.

12.3 Account Suspension and Termination

MacroCade reserves the right to suspend or terminate any user account, with or without notice, if MacroCade reasonably believes that the user has violated these Terms, engaged in fraudulent or abusive conduct, or otherwise acted in a manner that is harmful to the Service, other users, or third parties.

12.4 Account Cancellation by User

Users may cancel their account at any time by accessing the account settings page or by contacting support@macrocade.com. Upon cancellation, access to paid features will continue until the end of the current billing period. Following account cancellation, MacroCade will delete or anonymize user data in accordance with its Privacy Policy, subject to any legal retention obligations.

13. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY AI-GENERATED CONTENT.

MacroCade DOES NOT WARRANT THAT:

  • THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE;
  • THE RESULTS OBTAINED FROM USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE;
  • ANY ERRORS IN THE SERVICE WILL BE CORRECTED;
  • THE AI-GENERATED CONTENT IS COMPLETE, CURRENT, OR FREE FROM INACCURACIES.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PK - PROJECT KEY SOLUTIONS S.R.L., ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, LOSS OF GOODWILL, OR FINANCIAL LOSSES ARISING FROM OR RELATED TO:

  • YOUR USE OF OR INABILITY TO USE THE SERVICE;
  • ANY INVESTMENT OR FINANCIAL DECISION MADE IN RELIANCE ON AI-GENERATED CONTENT;
  • UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA;
  • ANY ERRORS OR INACCURACIES IN AI-GENERATED CONTENT;
  • ANY OTHER MATTER RELATING TO THE SERVICE.

IN JURISDICTIONS THAT DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, MacroCade'S LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW. IN NO EVENT SHALL MacroCade'S TOTAL AGGREGATE LIABILITY TO YOU EXCEED THE AMOUNT YOU PAID TO MacroCade IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under mandatory applicable law, including Italian consumer protection law.

15. Indemnification

You agree to indemnify, defend, and hold harmless PK - Project Key Solutions S.r.l. and its directors, officers, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Service in violation of these Terms; (b) your violation of any applicable law or regulation; (c) your infringement of any third-party rights; or (d) any content you submit to the Service.

16. Third-Party Services and Links

The Service may contain links to third-party websites or may integrate with third-party services. MacroCade does not endorse, control, or assume responsibility for any third-party content, products, or services. Your use of third-party services is governed by those parties' own terms and policies.

17. Modifications to the Service and Terms

MacroCade reserves the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. MacroCade also reserves the right to update these Terms at any time. Material changes will be communicated to registered users via email at least 14 days before the effective date. Continued use of the Service after the effective date of any modification constitutes your acceptance of the updated Terms.

18. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Italy, without regard to its conflict of law principles.

Any dispute arising out of or in connection with these Terms, including disputes regarding their validity, interpretation, performance, or termination, shall be subject to the exclusive jurisdiction of the courts of Rome, Italy (Foro di Roma).

Users residing in the European Union retain the right to access out-of-court dispute resolution mechanisms available under EU law, including the European Online Dispute Resolution (ODR) platform accessible at https://ec.europa.eu/consumers/odr. MacroCade's contact point for ODR purposes is: legal@macrocade.com.

19. Miscellaneous

19.1 Entire Agreement

These Terms, together with the Privacy Policy, Cookie Policy, and Financial Disclaimer, constitute the entire agreement between you and MacroCade with respect to the Service and supersede all prior agreements, representations, and understandings.

19.2 Severability

If any provision of these Terms is found to be invalid or unenforceable under applicable law, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions shall continue in full force and effect.

19.3 No Waiver

MacroCade's failure to enforce any provision of these Terms shall not be construed as a waiver of MacroCade's right to enforce such provision in the future.

19.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without MacroCade's prior written consent. MacroCade may assign these Terms without restriction.

19.5 Language

These Terms are drafted in English. In the event of any inconsistency between the English version and any translated version, the English version shall prevail.
